A note on your data: Details of our privacy policy is found in the link below, but the gist of it is that /takeaway app does not retain any chat messages. The app simply passes data to OpenAI for processing (the third party vendor we use to develop our unique machine learning algorithm). You can read about their privacy policy. Our model trains on publicly available chat data, as well as made up conversations that may or may not reflect real office life. We do however collect meta data to track engagement and debug issues like most apps.Disclaimer: This app uses ChatGPT AI model and may return incomplete or inaccurate responses.

Chord Strategy will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge so long as the security or data breach is not attributable to any fraud, negligence, security breach, or misconduct on part of Chord Strategy. However, you could be held liable for losses incurred by Chord Strategy or another party due to unauthorized use of your account. To protect the security of the Site and your account, we reserve the right to monitor Site usage and suspend access to any account with activity we deem suspicious. If your account is suspended, we will contact you to ensure that your account has not been compromised before reactivating your access.4. General Payment Terms4.1 Certain features of the Services may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in the currencies provided on the Chord Strategy website and, except as expressly provided by applicable law, are non-refundable.4.2 Price. Chord Strategy reserves the right to determine pricing for the Services. Chord Strategy will make reasonable efforts to keep pricing information published on the website up to date. We encourage you to check our website periodically for current pricing information. Chord Strategy may change the price of any feature of the Services; if this occurs, Chord Strategy will provide you advance notice of the changes before they apply. Chord Strategy, at its sole discretion, may make promotional offers with different features and different pricing to any of Chord Strategy’s customers. These promotional offers, unless made to you, will not apply to your offer or these Terms.4.3 Authorization. You authorize Chord Strategy and its third party payment processors to charge all sums for the orders that you make and any level of Services you select as described in these Terms or published by Chord Strategy, including all applicable taxes, to the payment method specified in your account. If you pay any fees with a credit card, Chord Strategy or its third party payment processors may seek pre-authorization of your credit card account prior to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.4.4 Subscription Services. The Services may include automatically recurring payments for periodic charges (“Subscription Services”). If you activate a Subscription Service, you authorize Chord Strategy or its third party payment processors to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. The “Subscription Billing Date” is the date when you purchase your first subscription to the Services. For information on the “Subscription Fee”, please see our pricing page. Your account will be charged automatically on the Subscription Billing Date all applicable fees and taxes for the next subscription period (e.g., monthly billing periods will be billed on the same day each month). The subscription will continue unless and until you cancel your subscription or we terminate it. You must cancel your subscription before it renews in order to avoid billing of the next periodic Subscription Fee to your account. Chord Strategy or its third party payment processor will bill the periodic Subscription Fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information). You may cancel the Subscription Services by contacting us at support@chordstrategy.com.4.5 Delinquent Accounts. Chord Strategy may suspend or terminate access to the Services, including fee-based portions of the Services, for any account for which any amount is due but unpaid. In addition to the amount due for the Services, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees.5. Accuracy of Information5.1 Chord Strategy makes no representation or warranty regarding the accuracy of any information made available through the Sites. Any opinions reflect Chord Strategy’s judgment at the time and are subject to change. You assume sole responsibility for the selection of the Content to achieve any of your intended results, and your sole and exclusive remedy for any alleged loss or damage suffered by you in connection with your use of the Site or the Content or the User Content is to discontinue using the Site.6. You may not copy, transmit, reproduce, publicly display, perform, distribute, alteror create derivative works of any Content or any portion of or excerpts from the Content in any fashion that is not authorized by Chord in writing or expressly permitted in these Terms of Use.6.2 You shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services except to the extent that enforcement is prohibited by applicable law notwithstanding a contractual provision to the contrary; (b) circumvent any user limits or other timing or use restrictions that are built into the Services; (c) remove any proprietary notices, labels, or marks from the Services; (d) frame or mirror any content forming part of the Services; or (e) access the Services in order to (i) build a competitive product or Services, or (ii) copy any ideas, features, functions or graphics of the Services. You may not use any Content or any excerpt from any Content to promote its products or services. External citation to the Content is prohibited without Chord’s express written permission.6.3 You shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Services available to any third party; (ii) use the Services to send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (iii) use the Services to send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material that is harmful to children or violates third-party privacy or publicity rights; (iv) use the Services to send or store Malicious Code; (v) interfere with or disrupt the integrity or performance of the Services or the data contained therein; or (vi) attempt to gain unauthorized access to the Services or its related systems or networks.6.4 Chord Strategy shall have a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual, unrestricted license to use or incorporate into the Services and/or any other products or services any suggestions, enhancement requests, recommendations or other feedback provided by You relating to the Services.6.5 Chord Strategy will not assert copyright over Content you transmit or send to our Services or Content generated by the Services for you or your end users, such as summarized text based on your original text.7. Third Party Terms7.1 Third Party Services and Linked Websites. Chord Strategy may provide tools through the Services that enable you to export and import information, including User Content, to and from third party services, including through features that allow you to link your account on Chord Strategy with an account on the third party Services. By using one of these tools, you agree that Chord Strategy may transfer that information to the applicable third party Services. Third party services are not under Chord Strategy’s control, and, to the fullest extent permitted by law, Chord Strategy is not responsible for any third party Services’s use of your exported information. The Services may also contain links to third party websites. Linked websites are not under Chord Strategy’s control, and Chord Strategy is not responsible for their content.7.2 Third Party Software. The Services may include or incorporate third party software components that are generally available free of charge under licenses granting recipients broad rights to copy, modify, and distribute those components (“Third Party Components”). Although the Services is provided to you subject to these Terms, nothing in these Terms prevents, restricts, or is intended to prevent or restrict you from obtaining Third Party Components under the applicable third party licenses or to limit your use of Third Party Components under those third party licenses.

8. User Content8.1. User Content Generally. Certain features of the Services permit users to upload and transmit content to the Services and send content through the Services, including messages, reviews, photos, audio, video, images, folders, data, text, graphics, and other types of information, material, and works (“User Content”) and to transform as well as publish User Content on the Services. You retain any copyright and other proprietary rights that you may hold in the User Content that you post to the Services.8.2 Limited License Grant to Chord Strategy. By providing User Content to or via the Services, you grant Chord Strategy a worldwide, non-exclusive, irrevocable, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed.8.3 Limited License Grant to Other Users. By providing User Content to or via the Services to other users of the Services, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Services.8.4 User Content Representations and Warranties. Chord Strategy disclaims any and all liability in connection with User Content. You are solely responsible for your User Content and the consequences of providing User Content via the Services. By providing User Content via the Services, you affirm, represent, and warrant that:
a) you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Chord Strategy and users of the Services to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section, in the manner contemplated by Chord Strategy, the Services, and these Terms;
b) your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Chord Strategy to violate any law or regulation; and
c) your User Content could not be deemed by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
8.5 User Content Disclaimer. We are under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Chord Strategy may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when using the Services you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Chord Strategy with respect to User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, Chord Strategy does not permit copyright-infringing activities on the Services.8.6 Monitoring Content. Chord Strategy does not control and does not have any obligation to monitor: (a) User Content; (b) any content made available by third parties; or (c) the use of the Services by its users. You acknowledge and agree that Chord Strategy reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Services for operational and other purposes. If at any time Chord Strategy chooses to monitor the content, Chord Strategy still assumes no responsibility or liability for content or any loss or damage incurred as a result of the use of content. During monitoring, information may be examined, recorded, copied, and used in accordance with our Privacy Policy.9. Usage Requirements9.1 BY USING THE Services YOU AGREE NOT TO:
a) use the Services or Content for any illegal purpose or in violation of any local, state, national, or international law, including:
* Illegal activities, such as child pornography, gambling, piracy, violating copyright, trademark or other intellectual property laws;
* Accessing or authorizing anyone to access the Services from an embargoed country as prohibited by the Canadian or U.S. government;
* Threatening, stalking, defaming, defrauding, degrading, victimizing or intimidating anyone for any reason.
b) interfere with security-related features of the Services, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Services except to the extent that the activity is expressly permitted by applicable law;
c) interfere with the operation of the Services or any user’s enjoyment of the Services, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Services; (iii) collecting personal information about another user or third party without consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Services;
d) perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, or accessing any other Services account without permission;
e) sell or otherwise transfer the access granted under these Terms or any Materials (as defined in Section 7) or any right or ability to view, access, or use any Materials; or
f) attempt to do any of the acts described in this Section 11 or assist or permit any person in engaging in any of the acts described in this Section 11.
9.2 You will not use the Services or Content or allow any user to use the Services in a way that causes societal harm, including but not limited to:
- Misleading end users that Services outputs were human-generated for generative use cases that do not involve a human in the loop;
- Generating spam; and
- Generating content for dissemination in electoral campaigns.
10. Warranties Disclaimer10.1 THE SERVICES, THIS SITE AND THE CONTENT AND MATERIALS AVAILABLE THROUGH THE SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. CHORD STRATEGY MAKES NO REPRESENTATIONS AND PROVIDES NO WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED REPRESENTATIONS, WARRANTIES AND/OR CONDITIONS, INCLUDING ANY REPRESENTATIONS, WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site or Services during any downtime or discontinuance of the Site or Services. This Agreement shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods to this Agreement is expressly excluded. The parties confirm that it is their wish that this Agreement as well as all other documents relating to this Agreement, including notices, be drawn up in English only.

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.16 Mobile and Software Applications16.1 To the extent you are using a mobile or software application operated by Chord Strategy (an “Application”), the following additional terms and conditions apply:16.2 Subject to these Terms of Use, Chord Strategy hereby grants you the non-exclusive, non-transferable right to download the Application solely onto your own handheld mobile device, or computer device, and to use the Application solely for uses permitted hereunder and as permitted by the applicable third party from which you received the Application.16.3 You may: (i) use any third party component included in the Application (“Third Party Component”) only as an integral component of the Application; (ii) not use the Application or any Third Party Component for development, compilation, debugging and similar design-time purposes; (iii) not reverse-compile or decompile, analyze, reverse-engineer, reverse-assemble or disassemble, unlock or otherwise attempt to discover the source code or underlying algorithms of the Application or any Third Party Component or attempt to do any of the foregoing in relation to the object code of the Application or any Third Party Component; and (iv) not modify, adapt, translate or create any derivative works of the Application or any Third Party Component or merge the Application or any Third Party Component into any other software.16.4 You may only use, copy, modify, or transfer the Application or any Third Party Component, or any copy, adaptation, transcription, or merged portion thereof, as expressly permitted herein.16.5 Chord Strategy and its licensors will have the exclusive ownership of all right, title, and interest in and to the Application and any Third Party Component licensed to you, including ownership of all the intellectual property rights and confidential information pertaining thereto, subject only to the express rights and privileges expressly granted to you herein.17 Use Of The Site and Services By Chord Strategy Clients17.1 The content on this website belongs to Chord Strategy, its licensors or third parties and is protected by Canadian, U.S. and international copyright laws and conventions. No right, title or interest in any content is transferred to you.17.2 Terms and conditions that govern your use of and access to the website are set forth in the contract between Chord Strategy and your employer. Chord Strategy Beta Product TermsThank you for participating in the Chord Strategy Beta Program. These Chord Strategy Beta Program Terms (“Terms”) apply to and govern your participation in any or all of public or private beta programs (“Beta Program”) and use of Chord Strategy’s Beta Services (“Beta Services”). In order to participate in a Beta Program or use Beta Services, you must agree to these terms.1. Eligibility and Participation1.1 You may participate in a Beta Program and use Beta Services only upon request and approval by Chord Strategy (“us” “Chord Strategy” “us” or “we’), and/ or by invitation from us. Only Customers in good standing may participate in a Beta Program and use Beta Services, subject to the Chord Strategy Terms of Service (the “Terms of Service”) and must remain so for the duration of these Terms. The Chord Strategy Terms of Service (including the Chord Strategy Privacy Policy) are incorporated by reference and will control for any provisions not addressed in these Terms. The Terms of Service continue to apply with regard to your use of the Chord Strategy Services, participation in a Beta Program, and use of any Beta Services. In the event that you are no longer a customer of Chord Strategy, your participation in the Beta Program and your use of all Beta Services will be terminated.2. Beta Services2.1 The Beta Services may be a separate, stand-alone service, accessible apart from the currently available Chord Strategy Services (as defined in the Terms of Service) or may be a feature or functionality for existing Chord Strategy Services. A description of the Beta Service may be provided prior to or at the time you use a Beta Service, or if we make changes to the Beta Service. By agreeing to and complying with these Terms we grant you a non-exclusive, revocable, non-transferable, limited license to use the Beta Services.3. The Beta Services Are As Is3.1 By accepting these Terms or using the Beta Services, you understand and acknowledge that the Beta Services are being provided as a “Beta” version and made available on an “As Is” or “As Available” basis. The Beta Services may contain bugs, errors, and other problems. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE BETA SERVICES, INCLUDING, WITHOUT LIMITATION, ANY INTERNET ACCESS FEES, BACK-UP EXPENSES, COSTS INCURRED FOR THE USE OF YOUR DEVICE AND PERIPHERALS, AND ANY DAMAGE TO ANY EQUIPMENT, SOFTWARE, INFORMATION OR DATA. In addition, we are not obligated to provide any maintenance, technical, or other support for the Beta Services.4. Feedback4.1 By enrolling in the Beta Programs you will have the ability to: (a) download, test, evaluate and analyze Beta Services including experimental software (b) and provide feedback, analysis, suggestions and comments to Chord Strategy (including, but not limited to, bug reports and test results) (collectively, “Feedback”).4.2 The Beta Services are made available to you without any compensation or reimbursement of any kind from Chord Strategy. You acknowledge the importance of communication between you and Chord Strategy during your use of the Beta Services and agree to receive related correspondence and updates from us. In the event you request to opt out from such communications, your participation in the Beta Program may be terminated, and your use of the applicable Beta Services may likewise be discontinued.4.3 As part of using the Beta Services, you will be asked to provide Feedback regarding your use of the Beta Services. You acknowledge that Chord Strategy owns any feedback provided, and you hereby grant to us, if for any reason it is further needed, a perpetual, non-revocable, royalty-free worldwide license to use and/or incorporate such feedback into any of our products or services at any time at our sole discretion. If we chose to publish such feedback, we will either do so in a way that does not identify you or seek your consent in the event we do wish to identify you.4.4 We may also monitor how you use the Beta Services and use that information to improve the Beta Services or our other products and services.4.5 You represent and warrant that you have the right to enter into this Agreement and assign and grant the rights set forth herein, and that any Feedback which is provided by you hereunder is original work made solely by you and does not infringe any third party intellectual property rights.5. No Compensation or Employment
5.1 You acknowledge that you are participating in the Chord Strategy Beta Program on a purely voluntary basis, as a means of assisting, and in consideration of the opportunity to assist Chord Strategy to use, implement, and understand various facets of the Experimental Software. Chord Strategy, at its sole discretion, may provide you compensation for your participation and/or Feedback but you acknowledge and agree that Chord Strategy has no obligation to do so. In the event Chord Strategy provides you any form of compensation, which such shall not exceed $100 USD, you represent and warrant that you will pay all applicable federal, state and local taxes based on any payments received by you. Chord Strategy makes no guarantee or representation as to whether or not your Feedback regarding the Experimental Software will be used, and you understand and acknowledge that Chord Strategy will not compensate you for your participation in the Chord Strategy Beta Program. Furthermore, you acknowledge and agree that nothing in this Agreement or in your voluntary submission of Feedback creates any employment relationship between you and Chord Strategy.
6. Term and Termination
6.1 These terms will remain in effect for as long as you use the Beta Services. Either party may terminate these Terms before the end of your participation in the applicable Beta Program for any reason or no reason upon written notice to the other party. Upon termination, you will cease using the Beta Services.
6.2 These Terms will automatically terminate upon any breach by you of any of your obligations hereunder including breach of confidentiality obligations. Your breach of any of your obligations under the Agreement may result in your immediate termination from use of other Beta Services, or participation in any other Beta Programs.6.3 Modification and Termination. We reserve the right to modify or terminate the Beta Program or the Beta Services, or your use of the Beta Services, to limit or deny access to the Beta Services and/or participation in the Beta Program, at any time, in our sole discretion, for any reason, with or without notice and without liability to you. You may discontinue your use of the Beta Services and/or your participation in the Beta Program at any time.7. Disclaimer of Warranties7.1 YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE BETA SERVICES ARE PROVIDED BY Chord Strategy ON AN “AS IS” BASIS AND AS AVAILABLE, AND YOUR ACCESS TO, PARTICIPATION AND/OR USE OF THE Chord Strategy BETA PROGRAM OR BETA SERVICES, IS AT YOUR SOLE RISK. TO THE EXTENT PERMITTED BY APPLICABLE LAW, Chord Strategy EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, SATISFACTORY QUALITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Chord Strategy MAKES NO WARRANTY THAT ANY OF THE SERVICES WILL MEET YOUR REQUIREMENTS AND/OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE, NOR DOES Chord Strategy MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH THE SERVICES. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF ANY OF THE SERVICES IS DONE AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM AND/OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Chord Strategy OR THROUGH THE BETA SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.8. Limitation of Liability and

IN NO EVENT SHALL Chord Strategy, ITS EMPLOYEES, AGENTS, ATTORNEYS, CONSULTANTS, OR CONTRACTORS BE LIABLE UNDER THIS AGREEMENT FOR ANY CONSEQUENTIAL, SPECIAL, LOST PROFITS, INDIRECT OR OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF BUSINESS, COST OF COVER WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF Chord Strategy HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. IN ANY EVENT, Chord Strategy, ITS EMPLOYEES’, AGENTS’, ATTORNEYS’, CONSULTANTS’ OR CONTRACTORS’ AGGREGATE LIABILITY UNDER THIS AGREEMENT FOR ANY CLAIM SHALL BE STRICTLY LIMITED TO $100.00. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. You acknowledge that Chord Strategy has entered into this Agreement in reliance upon the limitations of liability set forth herein and that the same is an essential basis of the bargain between the parties.
8.2 Indemnification. You agree to hold harmless and indemnify Chord Strategy, our affiliates and subsidiaries, officers, directors, agents, and employees from and against any third party claim arising from or in any way related to (i) your breach of the Terms, (ii) your use of the Beta Services and/or your participation in the Beta Program(s), or (iii) your violation of applicable laws, rules or regulations in connection with the Services.9. Confidential Information9.1 The Chord Strategy Beta Program is designed to assist Chord Strategy in researching, analyzing and validating the usability and reliability of certain prospective product features (collectively, the “Purpose”). Chord Strategy may disclose to you certain information (tangible or intangible) that you agree to treat as Confidential Information as set forth below. Definition. “Confidential Information” means all information disclosed by Chord Strategy, including, without limitation, documents, designs, techniques, specifications, product plans, strategic information, existing or prospective business plans, existing or prospective product study or pilot test objectives and/or results, and other information related to the Purpose. Consistent with the foregoing, Chord Strategy may also disclose Confidential Information related to certain unreleased and experimental product features or plans.9.2 Obligations Regarding Confidential Information. You agree to: (a) use Confidential Information only for the Purpose; (b) not disclose Confidential Information to any third parties (including the sharing of unreleased/experimental product images); and (c) use the same degree of care, but no less than a reasonable degree of care (including reasonable security measures), to prevent the unauthorized use, dissemination or publication of Confidential Information as you would use to protect your own confidential information of like nature.9.3 Remedies. You agree that any breach of this Agreement by you may result in irreparable harm to Chord Strategy, for which damages would be an inadequate remedy and therefore, in addition to its rights and remedies otherwise available at law, Chord Strategy shall be entitled to seek equitable relief, including injunction, in the event of such breach.10. General10.1 We reserve the right to make changes to these Terms from time to time and may or may not notify you in such an event. You understand and agree that if you use the Beta Services after the date on which the Terms have changed, we will treat your use as acceptance of the updated Terms.
10.2 Compliance with Laws. Both parties agree to comply with all applicable local, state, national ,and foreign laws, rules, and regulations, including, but not limited to, all applicable import and export laws and regulations governing use, transmission and/or communication of content, in connection with their performance, participation, access and/or use of the Beta Services or Beta Program.
10.3 Survival. Sections 2,3, 4,5,6 8, 9, and 10 will survive the expiration or termination of this Agreement.

For example, we may aggregate User’s Usage Data to calculate the percentage of users accessing a specific Website feature.
We do not collect any Special Categories of Personal Data about Users (this includes details about User’s race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about User’s health and genetic and biometric data). 6. Disclosures
We do not sell or lease your Personal Data to any third party. We will never share, sell, rent or trade your registration and Personal Information with any marketing or promotional partners without your consent.

- To other users who will see your profile information and any other information you choose to share with them through the Services.
- To our subsidiaries and affiliates where they are providing.

- To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Chord Strategy’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Information held by Chord Strategy about our Site or App users is among the assets transferred.
- To fulfill the purpose for which Users provide it.
- For any other purpose expressly disclosed by us when Users provide the information.
- With User’s express consent to other uses not indicated in this Privacy Policy.

Upon request, Chord Strategy will provide Users with information about whether we hold any of User’s Personal Information. Chord Strategy enables customers and website visitors with the ability to access and correct Personal Information we have collected. We will respond to User’s request within a reasonable timeframe, and in any event within 30 days of receipt of request.
Chord Strategy acknowledges that Users have the right to access, update, revoke permission to process, or request the deletion of User’s Personal Information. Any such query can be directed to Chord Strategy’s Data Protection Officer at security (@) ChordStrategy.com. If requested to remove data under either scenario, we will respond within a reasonable timeframe.
8. Security and Enforcement
The security of User’s Personal Information is important to us. We use security safeguards appropriate to the sensitivity of the information to ensure that User’s Personal Information is stored and maintained in a secure environment. Chord Strategy exercises managerial and technical safeguards designed to protect against the loss or unauthorized use or disclosure of Personal Information belonging to our customers and website visitors. These safeguards include encryption, malware protection, logical and physical access controls, and detection of social engineering attacks.
Chord Strategy monitors and reviews security safeguards and takes corrective action whenever we discover deviations from our Privacy Policy.9. Retention of Data
Chord Strategy will keep User’s Personal Information for as long as it remains necessary for the identified purposes set out below or as required by law, which may extend beyond the termination of our relationship with User. Users acknowledge and agree that if they request that their name be removed from our databases, it may not be possible to completely delete all of their Personal Information due to legal constraints.

11. Data Protection
11.1 Your Compliance.
You must comply with all laws and regulations applicable to your use of the Services and the data accessed through the Services, including without limitation laws related to the privacy of personally identifiable information ("Privacy Laws"), such as the European Union General Data Protection Regulation, Regulation (EU) 2016/679 ("GDPR") and the California Consumer Privacy Act, Cal. 11.2 HIPPA
Chord Strategy does not intend, and absent its express written agreement does not permit, use of the Services by any person that is a "covered entity" or a "business associate" under the Health Insurance Portability and Accountability Act, as amended ("HIPAA"), where such use would involve access by Chord Strategy to "protected health information" as defined under HIPAA. If you are (or become) a "covered entity" or "business associate" as defined in HIPAA, you will not use the Services in any manner that would permit such access, absent prior written consent from Chord Strategy.
11.3 Submission of Content
Chord Strategy does not acquire any ownership of any intellectual property rights in the content that you submit to our Services, except as expressly provided in these Terms. For the sole purpose of enabling Chord Strategy and its affiliates to provide, secure, and improve the Services (and related software, models, and algorithms), you give Chord Strategy and its affiliates a perpetual, irrevocable, worldwide, sublicensable, royalty-free, and non-exclusive license to use, host, store, modify, communicate and publish all content submitted, posted or displayed to or from the Services. When permissible under applicable Privacy Laws, the foregoing license survives consumer requests for deletion of personal data or Personal Information for the sole purpose of enabling Chord Strategy and its affiliates to provide, secure, and improve the Services. Before you submit content to our Services through your Application, you will ensure that you have the necessary rights (including rights from your end users, employees, or partners) to grant us the license.
12. Transfers of Data
Chord Strategy’s headquarters in Canada is our primary location for business operations, with cloud data centers in the United States of America and/or Canada.
In order to provide User with the information, products, or services User have requested, Personal Data may be transferred or shared with other companies within our family of companies, including those third-party vendors who act on our behalf, process Personal Data in accordance with the purposes for which the data was originally collected, or for purposes to which Data Subjects have subsequently consented. Our Privacy Policy, supported by model contract agreements and safeguards for data governance, are designed to provide equivalent data protection for all customers wherever they may reside.
For example, regarding normal business operations, Chord Strategy may engage a third-party to support our billing, support services, information technology, or mailings on our behalf.
We may also disclose User’s Personal Information as required by law, such as to comply with a subpoena or other legal process, when we believe in good faith that disclosure is necessary to protect our rights, protect User’s safety, or the safety of others, investigate fraud, or respond to a government request.
13. Outside Parties and Sites
Through us, Users may be introduced to a variety of third-party vendors and/or websites. The privacy policies of these third parties are not under our control and may differ from ours. The use of any information that User may provide to any third-party, or the use of “cookie” technology by any third-party, will be governed by the privacy policy of the operator of the website that Users are visiting. If Users have any doubts about the privacy of the information Users are providing on another website, we recommend that Users contact that website directly for more information and review its privacy policy. To properly process online orders, Users may be directed to a third-party credit card processing or other payment processing website. 15. RESIDENTS OF THE EUROPEAN UNION (EU)
Chord Strategy generally processes Personal Information in order to fulfill contracts we have with our customers and end users and to pursue our legitimate business interests listed above. Otherwise, Chord Strategy will obtain consent from an individual with respect to the processing of Personal Information if required by law to do so.
Further, individuals located in the EU have certain rights under European law (including under the General Data Protection Regulation) with respect to Personal Information, including the right to request access to, obtain, correct, amend, delete, or limit the use of User’s personal data. Individual end users, customers or prospective customers located in the EU who wish to exercise these rights, should contact Chord Strategy using the contact information below in Section 17. If we are processing User’s information on behalf of a third party then Users should contact that party directly because Chord Strategy serves as a data processor on behalf of a third party in that instance and can only forward User’s request to the buyer to allow them to respond. Individuals also have the right to make complaints to regulatory authorities in respect of our privacy practices.
16. Changes to this Privacy Policy
Chord Strategy may make changes to this Privacy Policy from time to time for any reason. Users of information we collect now are subject to the Privacy Policy in effect at the time such information is used. If we make any material changes or changes in the way we use information, we will notify customers via e-mail or by posting an announcement on the Website prior to the change becoming effective. Website users are bound by any changes to the Privacy Policy after such changes have been posted.
In the event that Chord Strategy is involved in a merger, acquisition or asset sale, we will continue to ensure the confidentiality of any Personal Information and give affected users notice before Personal Information is transferred or becomes subject to a different privacy policy.
